Cette annonce marque une étape décisive après la proposition indicative non contraignante formulée plus tôt dans l’année, et confirme la volonté de Caterpillar d’élargir son empreinte dans le domaine des technologies minières intelligentes.

Basée à Brisbane, RPMGlobal occupe depuis 1977 une place de pionnier dans le développement de logiciels spécialisés pour l’exploitation minière. Forte de décennies d’expertise, l’entreprise conçoit des outils capables d’accompagner les acteurs du secteur à chaque phase du cycle minier — de la planification à la maintenance — grâce à des solutions fondées sur la donnée et l’analyse prédictive.

Si Caterpillar n’a pas dévoilé le montant exact de son offre, un communiqué distinct de RPMGlobal précise qu’elle s’aligne sur la valorisation de 1,12 milliard de dollars australiens (environ 732 millions de dollars américains) annoncée précédemment.

« La culture d’innovation d’RPMGlobal et son agilité dans le développement de solutions s’accordent parfaitement avec l’engagement de Caterpillar à répondre aux besoins de ses clients », a déclaré Denise Johnson, présidente du groupe Caterpillar Resource Industries.
« Leurs technologies logicielles complètent idéalement nos propres solutions, notamment dans les domaines de la gestion des actifs, des flottes et de l’autonomie. Ensemble, nous pourrons optimiser les opérations minières de nos clients et libérer une valeur encore plus grande. »

Du côté australien, Stephen Baldwin, président du conseil d’administration de RPMGlobal, a salué l’accord, recommandant à l’unanimité aux actionnaires d’approuver la transaction :

« Cet accord représente une reconnaissance du chemin parcouru par RPM, devenue une référence mondiale dans le logiciel minier et les solutions technologiques. L’opération reste soumise à l’approbation des actionnaires de RPMGlobal, ainsi qu’à l’examen des autorités réglementaires compétentes. After several weeks of discreet negotiations, US giant Caterpillar Inc. has officially submitted a binding offer to acquire RPMGlobal, the Australian provider of software solutions for the mining industry. This announcement marks a significant step forward following the non-binding indicative proposal made earlier this year and confirms Caterpillar's commitment to expanding its footprint in smart mining technologies.

Based in Brisbane, RPMGlobal has been a pioneer in the development of specialized mining software since 1977. With decades of expertise, the company designs tools that support industry players at every phase of the mining cycle—from planning to maintenance—using data-driven solutions and predictive analytics.

While Caterpillar did not disclose the exact amount of its offer, a separate statement from RPMGlobal stated that it aligns with the previously announced valuation of AU$1.12 billion (approximately US$732 million).

"RPMGlobal's culture of innovation and agility in developing solutions align perfectly with Caterpillar's commitment to meeting customer needs," said Denise Johnson, Group President of Caterpillar Resource Industries.
